Terms of Service
Effective date: [to be confirmed: effective date] · Last updated: 23 October 2026
These terms govern use of the Workpro.ai service, portal and Windows agent by Customers and their authorised users. A signed order form or master agreement with a Customer takes precedence over these terms where they differ.
1. The agreement
These terms are an agreement between [to be confirmed: company legal name] ("we", "us") and the organisation that subscribes to the service ("Customer"). The person accepting them confirms they are authorised to bind the Customer.
2. The service
Workpro.ai provides a web portal, an API and a Windows agent for workforce analytics, attendance, device management and data loss prevention. Features available to the Customer depend on its subscription plan.
We may improve or change the service. We will not materially reduce the core functionality of a paid subscription during its term.
3. Customer responsibilities for monitoring
The Customer decides what to monitor and is responsible for doing so lawfully. In particular, the Customer must:
- install the agent only on devices it owns or is authorised to manage;
- tell the people it monitors, clearly and in advance, what is collected and why, and have a lawful basis (including consent where required) under the laws that apply to it and to them;
- configure policies, access roles and retention proportionately to its purposes;
- handle requests from its personnel about their data, with our assistance where needed;
- keep its account credentials secure and remain responsible for actions taken under its accounts.
4. Acceptable use
The Customer must not, and must not allow anyone to:
- monitor people in a way that is unlawful, or monitor personal devices without the owner's consent;
- use the service to harass, discriminate against or unlawfully profile individuals;
- attempt to gain unauthorised access to the service or to other Customers' data, or test its security without our written permission;
- reverse engineer, resell or provide the service to third parties except as agreed;
- interfere with or overload the service.
We may suspend access that breaches this section or puts the service or others at risk, and will tell the Customer promptly when we do.
5. Agent software
We grant the Customer a non-exclusive, non-transferable licence to install and use the agent on its managed devices during the subscription. The agent updates itself automatically to keep the service secure and compatible.
6. Customer data
The Customer owns the data collected through its use of the service. We use it only to provide, secure and support the service and as the Customer instructs, as described in our Privacy Policy. Where required by law, the parties will sign a data processing agreement.
When the subscription ends, the Customer may request an export of its data within 30 days, after which we delete it, except where we must keep it by law.
7. Fees
Fees, billing period and payment terms are set out in the Customer's order. Fees are exclusive of taxes. We may suspend the service for invoices more than 30 days overdue after giving notice.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the purposes of this agreement.
9. Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated, the service is provided "as is". Reports and productivity scores are aids to management and should not be the sole basis for decisions about individuals.
10. Limitation of liability
Neither party is liable for indirect or consequential loss, or loss of profit or goodwill. Each party's total liability is limited to [to be confirmed: liability cap]. These limits do not apply to liability that cannot be limited by law.
11. Term and termination
The agreement lasts for the subscription term in the order. Either party may terminate for a material breach not remedied within 30 days of notice. On termination the Customer must uninstall the agent, and the customer-data section above applies.
12. Governing law
These terms are governed by [to be confirmed: governing law], and disputes are subject to the exclusive jurisdiction of [to be confirmed: courts].
13. Changes and contact
We may update these terms and will give at least 30 days' notice of material changes. Questions: [to be confirmed: privacy contact email].
